Terms of Service

Please read these Terms of Service carefully before using Big Jupyter. By accessing or using the platform you agree to be bound by these Terms. If you do not agree, do not use Big Jupyter.

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Big Jupyter ("Company," "we," "us," or "our"), governing your access to and use of the Big Jupyter platform, website, and all associated services (collectively, the "Service").

By creating an account, starting a free trial, or otherwise accessing the Service, you represent that: (a) you are at least 18 years of age; (b) you have the legal authority to enter into this agreement on behalf of yourself or the entity you represent; and (c) you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

If you are using the Service on behalf of a business or other legal entity, you represent that you have authority to bind that entity to these Terms. In such a case, "you" and "your" will refer to that entity.

2. Service Description

Big Jupyter is an AI-powered SaaS marketing platform that provides an integrated workspace for digital marketing activities. The Service includes, but is not limited to:

  • AI-generated content creation for blog posts, social media, ad copy, and outreach emails
  • Search engine optimization (SEO) tools and reporting
  • Social media scheduling and management
  • Google Ads campaign management and optimization
  • Email marketing campaign tools
  • Outreach automation via integration with Apollo.io
  • Editorial calendar management
  • Competitor monitoring and analysis
  • Analytics dashboards integrating data from connected third-party services

The Service is provided on a subscription basis. Features available to you depend on your selected subscription plan. We reserve the right to modify, add, or remove features at any time, with reasonable notice to subscribers where a change materially reduces functionality.

3. Account Registration and Security

Registration. To use the Service you must create an account by providing accurate, current, and complete information. You agree to keep your account information up to date at all times.

One Account Per User. Each account is for a single user or, where permitted by your plan, a defined number of users within your organization. You may not share login credentials with individuals outside your authorized user count.

Account Security. You are solely responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must immediately notify us at hello@bigjupyter.com if you suspect unauthorized access to or use of your account. We will not be liable for any loss or damage arising from unauthorized access resulting from your failure to secure your credentials.

Accuracy of Information. You agree not to create an account using false identity information or on behalf of someone other than yourself without their authorization. Accounts registered through automated means or on behalf of undisclosed third parties are prohibited.

Minors. The Service is not directed to individuals under the age of 18. By registering, you confirm you are at least 18 years old.

4. Subscription Plans, Billing, and Cancellation

Plans. Big Jupyter offers the following monthly subscription plans:

  • Solo — $79/month, includes 500 AI credits per month
  • Pro — $199/month, includes 2,000 AI credits per month
  • Agency — $499/month, includes 10,000 AI credits per month

Plan pricing is listed in US dollars and is subject to change. We will provide at least 30 days' advance notice of any price changes to existing subscribers.

Free Trial. All plans include a 7-day free trial for new customers. No charge is made during the trial period. At the end of the trial, your selected plan's subscription fee is automatically charged unless you cancel before the trial expires. You may only use one free trial per person or entity. We reserve the right to refuse, revoke, or modify trial access at our discretion to prevent abuse.

Billing. Subscription fees are billed in advance on a monthly basis. Billing is processed through Stripe, our third-party payment processor. By providing payment information, you authorize us to charge your payment method on a recurring monthly basis on the date your subscription began (or the nearest business day). You represent that you have the right to use the payment method provided.

Taxes. Stated prices exclude any applicable taxes (including VAT, GST, or sales tax). Where required by law, applicable taxes will be added to your invoice.

Failed Payments. If a payment fails, we will attempt to retry the charge. If payment remains unsuccessful after reasonable retry attempts, your account may be suspended or downgraded until payment is received. You remain liable for all unpaid amounts.

Cancellation. You may cancel your subscription at any time through your account settings or by contacting hello@bigjupyter.com. Cancellation takes effect at the end of your current billing period. You will retain access to the Service until the end of the period for which you have paid.

Refund Policy. All subscription fees are non-refundable. We do not provide refunds or credits for partial months of service, unused AI credits, or periods during which you did not use the Service. If you cancel mid-cycle, your access continues through the end of that billing period and no partial refund is issued.

Plan Changes. You may upgrade or downgrade your plan at any time. Upgrades take effect immediately and any prorated difference is charged at the time of upgrade. Downgrades take effect at the start of your next billing cycle.

5. AI Credits System

What Are Credits. AI credits ("Credits") are the unit of measure for AI-powered operations within the Service. Each subscription plan includes a monthly Credits allowance as described in Section 4.

How Credits Are Consumed. Credits are deducted when you initiate AI-powered tasks. The following applies:

  • Each discrete AI task (e.g., generating a social media post, drafting ad copy, creating an outreach email, producing a competitor analysis) deducts 1 Credit, regardless of how many underlying AI model calls are required to complete it.
  • Complex multi-step tasks such as generating a full blog post — which may involve multiple AI calls for research, drafting, editing, and SEO optimization — are counted as 1 Credit per blog post generated.
  • Viewing analytics dashboards, scheduling pre-generated content, managing calendar entries, and similar non-generative actions do not consume Credits.

Credit Limits. Your monthly Credit allowance resets at the start of each billing cycle. Credits are subject to fair-use limits and may not be used for purposes other than the intended features of the Service.

No Rollover. Unused Credits do not carry over to the following billing period. Credits expire at the end of each monthly cycle and have no cash value.

Credit Exhaustion. If you exhaust your monthly Credit allowance, AI generative features will be unavailable until your Credits reset at the start of your next billing cycle. You may upgrade to a higher plan to access a greater Credit allowance at any time.

No Refunds for Credits. Credits are not refundable in whole or in part. We do not issue refunds, credits, or compensation for unused Credits upon cancellation or plan downgrade.

6. Acceptable Use Policy

You agree to use the Service only for lawful purposes and in accordance with these Terms. The following uses are expressly prohibited:

Illegal Activity. Using the Service to generate, distribute, promote, or facilitate content or activities that are illegal under applicable law, including but not limited to fraud, defamation, harassment, threats, copyright infringement, or violations of export control regulations.

Spam and Unsolicited Communications. Using the Service to send unsolicited commercial messages (spam), engage in bulk email or outreach campaigns that violate the CAN-SPAM Act, GDPR, or other applicable anti-spam laws, or use outreach automation features to contact individuals who have not consented to receive communications from you.

Harmful or Offensive Content. Generating or distributing content that is hateful, harassing, sexually explicit (where prohibited), violent, or discriminatory on the basis of race, ethnicity, religion, gender, sexual orientation, disability, or other protected characteristics.

Deceptive Practices. Using AI-generated content to deliberately mislead or deceive consumers, create fake reviews or testimonials, impersonate individuals or entities, or engage in any form of false advertising in violation of applicable consumer protection laws.

Platform Terms Violations. Using the Service in any manner that violates the terms of service, policies, or guidelines of any connected or integrated third-party platform, including but not limited to Google Ads policies, Meta advertising standards, LinkedIn's User Agreement, X (Twitter) Rules, Reddit's User Agreement, and Apollo.io's terms of service. You are solely responsible for ensuring your use of integrated platforms complies with those platforms' respective policies.

Unauthorized Automation. Deploying bots, scrapers, or automated systems to interact with the Service beyond the functionality we explicitly provide; attempting to bypass rate limits or Credit limits through technical means; or using the Service to scrape, harvest, or collect data from third-party platforms in violation of their terms.

Security Interference. Attempting to probe, scan, or test the vulnerability of the Service; circumventing authentication or security measures; introducing viruses, malware, or other harmful code; or interfering with the integrity or performance of the Service for any other user.

Resale and Unauthorized Access. Reselling, sublicensing, or otherwise providing access to the Service to third parties outside the scope of your plan without our express written permission.

We reserve the right to investigate potential violations and, at our sole discretion, suspend or terminate accounts that violate this Acceptable Use Policy without prior notice or refund.

7. User Content and AI-Generated Content

User Content. "User Content" means any data, text, images, files, or other materials you upload, input, or provide to the Service. You retain all ownership rights in your User Content. By submitting User Content, you grant us a limited, non-exclusive, royalty-free license to process and use your User Content solely to provide and improve the Service.

AI-Generated Output. "AI-Generated Content" means any content produced by the Service's AI features in response to your inputs, including blog posts, social media copy, ad copy, outreach emails, and similar outputs. As between you and Big Jupyter, you own the AI-Generated Content produced through your account, subject to these Terms and applicable law.

User Responsibility for AI Output. You are solely responsible for reviewing all AI-Generated Content before publishing, distributing, or otherwise using it. You acknowledge that:

  • AI models can produce inaccurate, incomplete, outdated, or hallucinated information. Big Jupyter makes no warranty that AI-Generated Content is accurate, factually correct, or fit for any particular purpose.
  • It is your responsibility to verify the accuracy, legality, and appropriateness of all AI-Generated Content before use.
  • You are solely responsible for ensuring that any content you publish complies with applicable laws, regulations, advertising standards, platform policies, and any relevant professional or industry codes.
  • Big Jupyter is not liable for any claims, damages, or losses arising from your reliance on or publication of AI-Generated Content without adequate review.

No Sensitive Personal Data. You agree not to input or upload sensitive personal data — including health or medical information, financial account details, government ID numbers, biometric data, or data relating to minors — into the Service unless you have obtained all necessary consents and authorizations required by applicable law.

Content We May Remove. We reserve the right (but have no obligation) to review, refuse to process, or remove User Content or AI-Generated Content that we reasonably believe violates these Terms, applicable law, or third-party rights.

8. Third-Party Integrations

Connected Accounts. The Service enables you to connect third-party accounts and services, including but not limited to: Google Analytics, Google Search Console, Google Ads, Instagram (Meta), Apollo.io, Ghost CMS, X (Twitter), LinkedIn, and Reddit (collectively, "Third-Party Services").

Your Responsibility. By connecting a Third-Party Service, you authorize us to access and interact with that service on your behalf using the permissions you grant. You represent that you have the authority to authorize such access and that your use of the integration complies with the applicable Third-Party Service's terms of service, privacy policies, and guidelines. Big Jupyter is not responsible for, and does not control, the policies, availability, or data practices of any Third-Party Service.

Platform Policy Compliance. Each Third-Party Service operates under its own terms and policies. You are solely responsible for complying with those terms when using Big Jupyter features that interact with Third-Party Services. This includes, without limitation, Google Ads policies, Meta's advertising standards, LinkedIn's Professional Community Policies, X's Rules and policies, Reddit's Content Policy, and Apollo.io's terms of use. Violations of Third-Party Service terms may result in suspension of your access on those platforms and are not grounds for a refund from Big Jupyter.

No Warranty for Third-Party Services. We do not warrant the availability, reliability, accuracy, or continued compatibility of any Third-Party Service. Third-Party Services may change their APIs, revoke access, or modify their features at any time without notice to us. We will make commercially reasonable efforts to maintain integrations but are not liable for any disruption, data loss, or limitation of functionality resulting from changes to or unavailability of Third-Party Services.

Third-Party Terms. Your use of Third-Party Services is governed by the respective agreements between you and those providers. Big Jupyter is not a party to those agreements and assumes no liability arising from your use of Third-Party Services.

9. Intellectual Property

Big Jupyter's IP. The Service, including its software, algorithms, AI models, interfaces, designs, trademarks, trade names, logos, documentation, and all underlying technology, is owned by or licensed to Big Jupyter and is protected by copyright, trademark, patent, trade secret, and other applicable intellectual property laws. Nothing in these Terms transfers any ownership of Big Jupyter's intellectual property to you.

License to Use the Service. Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service solely for your internal business purposes during your subscription term.

Restrictions. You may not: (a) copy, modify, adapt, or create derivative works of the Service or any part thereof; (b) reverse engineer, decompile, or disassemble any part of the Service; (c) remove or alter any proprietary notices or labels; or (d) use any Big Jupyter trademarks or brand assets without our prior written consent.

Your Data and Output. You retain all ownership rights in your User Content and, as described in Section 7, in the AI-Generated Content produced through your account. We do not claim ownership of your data or outputs. We may use aggregated, anonymized data derived from your use of the Service to improve our AI models and platform, provided such use does not identify you or any individual.

Feedback. If you submit ideas, suggestions, or feedback about the Service ("Feedback"), you grant us a perpetual, irrevocable, worldwide, royalty-free license to use, incorporate, and exploit such Feedback for any purpose without compensation or attribution to you.

10. Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. The Privacy Policy describes how we collect, use, store, and share information about you when you use the Service.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BIG JUPYTER AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, AND SERVICE PROVIDERS EXPRESSLY DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO:

  • WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT;
  • WARRANTIES THAT THE SERVICE WILL MEET YOUR REQUIREMENTS OR BE AVAILABLE ON AN UNINTERRUPTED, SECURE, OR ERROR-FREE BASIS;
  • WARRANTIES AS TO THE ACCURACY, COMPLETENESS, TIMELINESS, OR RELIABILITY OF ANY CONTENT, INCLUDING AI-GENERATED CONTENT, PROVIDED THROUGH THE SERVICE;
  • WARRANTIES REGARDING THE RESULTS THAT MAY BE OBTAINED FROM USE OF THE SERVICE, INCLUDING MARKETING OUTCOMES, SEARCH RANKINGS, OR ADVERTISING PERFORMANCE.

Some jurisdictions do not allow the exclusion of implied warranties, so some of the above exclusions may not apply to you.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL BIG JUPYTER, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • LOSS OF PROFITS, REVENUE, GOODWILL, OR ANTICIPATED SAVINGS;
  • LOSS OR CORRUPTION OF DATA;
  • BUSINESS INTERRUPTION;
  • COSTS OF SUBSTITUTE GOODS OR SERVICES;
  • DAMAGES ARISING FROM AI-GENERATED CONTENT THAT IS INACCURATE, MISLEADING, OR RESULTS IN REGULATORY ACTION;
  • DAMAGES ARISING FROM YOUR RELIANCE ON OR PUBLICATION OF AI-GENERATED CONTENT WITHOUT ADEQUATE REVIEW.

THESE LIMITATIONS APPLY REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE) AND EVEN IF BIG JUPYTER HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN ANY EVENT, BIG JUPYTER'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL FEES PAID BY YOU TO BIG JUPYTER IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (B) ONE HUNDRED US DOLLARS ($100.00).

Some jurisdictions do not allow the limitation or exclusion of liability for incidental or consequential damages. In such jurisdictions, our liability is limited to the fullest extent permitted by law.

13. Indemnification

You agree to defend, indemnify, and hold harmless Big Jupyter, its affiliates, officers, directors, employees, agents, licensors, and service providers from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with:

  • your access to or use of the Service;
  • your User Content or AI-Generated Content that you publish or distribute;
  • your violation of these Terms;
  • your violation of any applicable law, regulation, or third-party right, including the terms of any Third-Party Service;
  • any claim that your User Content or published AI-Generated Content infringes a third party's intellectual property rights, is defamatory, or violates any applicable advertising or consumer protection law.

We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate with our defense of such claim. You may not settle any claim that imposes any obligation or admission of liability on Big Jupyter without our prior written consent.

14. Termination

Termination by You. You may cancel your subscription and terminate your account at any time as described in Section 4. Termination does not entitle you to any refund of prepaid fees.

Termination by Us. We may suspend or terminate your access to the Service immediately, without prior notice or liability, if:

  • you breach any provision of these Terms;
  • we are required to do so by law or by a court or regulatory authority;
  • you engage in conduct that, in our sole judgment, is harmful to other users, third parties, or the integrity of the Service;
  • your account has been inactive for an extended period following cancellation;
  • payment of subscription fees remains outstanding after reasonable notice.

Effect of Termination. Upon termination or expiration of your account:

  • Your license to use the Service immediately ceases.
  • You must cease all use of the Service and delete any downloaded materials.
  • Any outstanding payment obligations survive termination.
  • We may delete your User Content and account data in accordance with our data retention practices described in the Privacy Policy. We are not responsible for loss of data following account termination.

Sections 4 (to the extent of unpaid obligations), 7 (User Content), 9 (Intellectual Property), 11, 12, 13, 15, and 16 survive termination of these Terms.

15. Governing Law

These Terms and any dispute arising out of or relating to them or your use of the Service shall be governed by and construed in accordance with the laws of the State of Delaware, United States of America, without regard to its conflict of law principles.

To the extent that any claim is not subject to the arbitration agreement in Section 16, you consent to the exclusive jurisdiction of the state and federal courts located in Delaware, and you waive any objection to the exercise of personal jurisdiction or venue in such courts.

16. Dispute Resolution

Informal Resolution. Before initiating formal dispute proceedings, you agree to first contact us at hello@bigjupyter.com and attempt to resolve the dispute informally. We will attempt to resolve the dispute within 30 days. If the dispute is not resolved within that period, either party may proceed to binding arbitration as described below.

Binding Arbitration. Except for claims seeking emergency injunctive or equitable relief and claims that may be brought in small claims court, any dispute, claim, or controversy arising out of or relating to these Terms, the Service, or your relationship with Big Jupyter — whether based in contract, tort, statute, fraud, misrepresentation, or any other legal or equitable theory — shall be resolved by binding individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules (available at www.adr.org), as modified by these Terms.

The arbitration shall be conducted in English. The arbitrator's decision shall be final and binding on both parties and may be entered as a judgment in any court of competent jurisdiction. The prevailing party shall be entitled to recover its reasonable attorneys' fees and costs to the extent permitted by the applicable AAA rules.

Class Action Waiver. YOU AND BIG JUPYTER AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR OUR INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE ACTION OR PROCEEDING. The arbitrator may not consolidate or join more than one person's or party's claims, and may not otherwise preside over any form of a consolidated, representative, or class proceeding.

Severability. If the class action waiver above is found unenforceable with respect to a particular claim or dispute, then that specific claim or dispute shall be resolved in court and severed from any remaining claims that proceed in arbitration.

Opt-Out. You may opt out of this arbitration agreement by sending written notice to hello@bigjupyter.com within 30 days of first accepting these Terms. Your notice must include your name, account email, and a clear statement that you are opting out of arbitration. If you opt out, disputes will be resolved in the courts described in Section 15.

17. Changes to These Terms

We may update these Terms from time to time to reflect changes in our practices, the Service, or applicable law. When we make material changes, we will notify you by email to the address associated with your account and/or by posting a prominent notice within the Service at least 14 days before the changes take effect.

Your continued use of the Service after the effective date of any updated Terms constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Service and cancel your subscription before the effective date of the changes.

We encourage you to review these Terms periodically. The "Last updated" date at the top of this page indicates when the Terms were most recently revised.
